1. Agreement
An agreement is formed when you engage Phone Central’s services and we accept your request.
The agreement includes:
- Any application, quote, or proposal
- Service descriptions

2. Services
Services are provided based on agreed scope, pricing, and terms.
Any variations must be agreed in writing.
3. Client Responsibility
You warrant that:
-All information provided is accurate
-You are authorised to enter into this agreement
-You will comply with all applicable laws and requirements
-We rely on the information you provide.
4. Contract TermServices may be provided on:
-Fixed-term agreements, or
-Ongoing basis
Early termination may result in fees equal to remaining contractual obligations unless otherwise agreed.
5. Pricing, Billing & Payment
All charges will be outlined prior to engagement
You must pay all invoices by the due date
Late payments may result in:
-late fees
-suspension or termination
-All setup, onboarding, and administrative fees are non-refundable
6.Usage & Charge Responsibility
You are responsible for:
-All usage on your account
-All charges incurred, whether authorised or unauthorised
This includes but is not limited to:
-staff usage
-third-party access
-system misuse
-fraud or unauthorised access
7. Fraud & Security
You are responsible for maintaining the security of your systems and access credentials.
Phone Central is not liable for any loss, cost, or damage arising from:
-unauthorised access
-hacking or system breaches
-toll fraud or misuse
8. Third-Party Services
Services may rely on third-party providers.
Phone Central is not responsible for:
third-party performance
delays or outages
decisions or actions of external providers
9. No Guarantee of Service
We do not guarantee:
-uninterrupted service
-specific performance levels
-outcomes affected by external factors
10. Suspension & Termination
We may suspend or terminate services where:
-payments are overdue
-terms are breached
-faudulent or suspicious activity is detectedrequired by law or regulatory authority
We are not liable for any loss resulting from such action.
11. Hardware & Equipment
Where hardware is provided:
ownership remains with Phone Central (unless otherwise agreed)
you are responsible for:
-care, maintenance, and security
-any damage or loss
You may be charged for repair or replacement where applicable.
12. Limitation of Liability
To the maximum extent permitted by law:
Phone Central is not liable for:
-indirect or consequential loss
-loss of profit, revenue, or opportunity
-losses arising from third-party services or actions
-Where liability cannot be excluded, it is limited to re-supplying the service.
13. Debt Recovery
If you fail to make payment:
we may engage third-party recovery services
you are responsible for all recovery costs incurred
14. Force Majeure
We are not liable for delays or failures caused by events beyond our control, including:
-network failures
-natural events
-third-party disruptions
15. Changes to Terms
We may update these Terms at any time.
Continued use of services constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
